1.Legal files management
- Corporate affairs, company law
- Contracts drafting/reviewing (mainly joint venture with international funds, shareholders agreement, mezzanine financing agreements, loan facilities, acquisition agreements, transfer of shares, security agreements, construction and development agreements, construction management agreements, lease agreements for offices/hypermarkets, project sale agreement/forward sales etc.)
- cooperate in drafting the above mentioned contracts with a mix internal team (accounting, technical depart.)
- Real estate regulation (real estate due-diligence, acquisition agreements)
- Litigation (civil/ mainly related to real estate, commercial, bankruptcy, privatizations etc.): follow up of the litigations on-going, coordination of all litigations
- Tax (external strong support)
- Power of authority and signature rights
- Decisions to be approved by Board of Directors and Annual or/and Extraordinary Assemblies
- Identify and manage legal risks of different projects
- Provide legal advice to executives and operational team
- Keep abreast of new Romanian laws and practice; alert business people of relevant developments.
-Train and update business people on legal topics and code of business conduct for the legal aspects.
2.Legal department policies and procedures
Cooperate with the CLO within an integrated legal department committed to the interests of the group. Put in place and manage a system of legal control of each project, by developing policies and procedures on such subjects as: model contracts and other standardized documentation, filing, archives, powers of attorney, signature rights.
Ensure the proper implementation / application of the Group policies.
3.Reporting to CFO/CLO
-Report to CFO/ CLO (status of a project, annual report, permanent data room, various litigation and legal risk reports).
4.Acquisitions and other extraordinary projects
Coordinate with external financial and technical counsel and lawyer on:
- various aspects of acquisitions (due diligence, structuring, legal formalities, etc.)
- other extraordinary projects that may arise
5.General Secretary of the Board of directors
Ensure the General Secretary of the board of directors of the company: agenda, minutes, etc
Romanian lawyer
- High diploma in law
- Employment experience of at least 5 years, in lawyers or audit firm or as a Senior Legal Counselor in one of the prominent real estate companies / multinational company
- Exposure to legal issues concerning real estate: acquisition, permitting, environment etc.
