RESPONSABILITATI

- Ensures that relevant business areas conduct their business in accordance with all applicable laws and procedures (Compliance & litigations)
- Overall responsibility for advising the Management Board in specific areas of law (Legal Advisor to the Board)
Fulfils the role of company legal secretary acting in related areas on behalf of the Board
- Supports the business by providing legal advice on a variety of matters;
- Keeping abreast of relevant statutory legislation and regulatory requirements;
- Representation of the company in court.

Activities:
- Fills out legal forms and gets them agreed by government offices, interview clients and draft clauses for contracts;
- Assists prosecuting or defense lawyers in court and arranges for the attendance of witnesses at court;
- Participates in negotiations and in closing transactions with public authorities (Ministry of Labor, CSSPP, Treasury, Romanian Law Court);
- Identifying in a proactive manner (recognizing and anticipating) key legal issues impacting and making appropriate and timely business decisions
- Manages the registered Company mark portfolio
- Providing effective professional advice and support to the Board with regard to all legal issues, litigations and the compliance activity, for the pension company in Romania;
- Provides assistance with regard to tenders organized by the Company or by public authorities (concession agreements, lease and free use agreements of public owned property);
- Participates in Management Board upon request;
- Coordinates the organization of the General Shareholders Meeting (AGA); maintains the communication relations with the shareholders;
- Organizes the Board of Directors meetings; prepare the necessary documents and monthly review session, oversees minute-taking.
- Represents the Company in the relation with third parties – auditors, external counsels and firms, regulatory bodies, state authorities;
- Provides legal surveys for Management and Shareholders;
- Ensures that all legal activity complies with the Company’s policies and procedures and the Romanian legal framework;
- Covers other accountabilities and specific tasks delegated by the superior, as by the business needs

- Fluency in English (speaking, writing and reading)

Education and training:
- University Degree, Legal;

Experience: at least 3 years of relevant experience in corporate law
