Subordinates to the Legal Manager.
Responsabilitati
Assistance, advice and support to the Legal Manager all legal issues;
Assistance, support and advice in comercial contracts, advise to the Siemens group companies;
Assistance on legal, financial, tax and fiscal issues with clients, collaborators, banks, recovery of debts, etc., and assistance for financial and commercial issues;
Support in all legal topics in on-going M&A operations, especially in the legal Due Diligences;
Shared Services to all Siemens entities in Romania;
Permanent check and implementation of the requirements of company law, to which the corporation is subject as a legal entity (such as general meetings and board meetings, etc.);
Issue of legal opinions, not only in relation to contracts, but also on any aspects of permanent establishment, liabilities, damages, warranty, etc.;
Active and constructive involvment in the drafting of new rules and regulations;
Support to the HR department with regard to employment contracts and all related documentation, changes in labour legislation, settlement of labour disputes, labour inspections, internal personnel procedures, dismissal procedures, etc.;
Permanent review of the regulatory and comercial materials and the legislation and the implications of all changes over the organisation.
Educatie
License in Law.
Cunostinte/Limbi straine
Deep theoretical and practical Romanian and international law knowledge;
Deep practical knowledge in Commercial International Contracts and Mergers & Aquisitions;
Experience in court representation and preparation of the court documentation;
Excellent English. German constitutes an advantage.
Experienta
Experience in a similar position for 3 or more years;
The ideal candidate will have in addition a 5 years experience professionally (in a variety of business), in process and projects, in leadership and also interculturally.
