RESPONSABILITATI

Adecco, the worldwide leader in HR solutions is recruiting for one of its clients, a multinational asset management company, a highly professional Corporate Counsel with financial services background

Subordinated to Branch Head of Legal.

• Formulating opinions on the interpretation of laws and regulations applicable to the business of the company and any funds or accounts managed by the company, for example (without limitation) in respect of matters relating to corporate governance, commercial agreements, investments and investor rights, and litigations;
• Reviewing, advising on and negotiating general legal agreements: e.g. leases, employment contracts, and third party vendor contracts;
• Advising on day-to-day legal queries from colleagues, applying good commercial sense to legal solutions and explaining legal issues in a manner which can be understood by non-legal personnel;
• Managing relationships with external counsel;
• Managing litigations in which the company or its clients are involved, which may include appearing as a representative at hearings;
• Drafting inter-company service agreements;
• Managing the registration/authorisation requirements of new and existing investment products;
• Negotiating investment mandates with institutional clients;
• Advising on regulatory and Anti-Money Laundering requirements applicable to the business and more general areas of law e.g. trademark, copyright, and data protection;
• Researching and providing updates on developing legislation in the region, responding to consultations, and developing relationships with industry regulators;
• Drafting contracts and other legal documents on behalf of the company or funds/accounts managed by the company, including negotiation of legal terms of such documents;
• Assisting in the legal work required to create new investment funds and to list such funds, plus assisting in arranging the necessary regulatory filings;
• Formulating opinions on the legitimacy of provisions included in draft decisions submitted for approval to the governing body of the company or funds / accounts managed by the company;
• Endorsing, for legitimacy, the draft contracts submitted for approval by the governing body of the company or funds /accounts managed by the company;
• Performing legal support tasks relating to the proper administration and record-keeping of the company and its clients, including (without limitation) preparation of documentation for shareholder meetings;
• Ensuring the filing of registrations (e.g. with the Trade Registrar) of decisions made in meetings of management or shareholders on behalf of the company or its clients according to applicable law;
• Supporting the professional development of more junior members of the Legal team and supervising their work from time to time as requested by the Head of Legal, Romania.
• Any other tasks allocated by the Branch Head of Legal or other senior staff.

• Assisting in the resolution of any crisis situations which may affect the company.
